In these terms and conditions, the words “website” refers to the Vijilan website, “we”, “us”, “our” and “Vijilan” refers to Vijilan and “you” “client” and “user” refers to you, the Vijilan user.
The following terms and conditions apply to the website and services offered by Vijilan. This includes the mobile and tablet versions as well as any other version of Vijilan accessible via desktop, mobile, tablet, social media or other devices.
READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OR OBTAINING ANY INFORMATION OR SERVICE FROM VIJILAN.
- ACCEPTANCE OF TERMS
This agreement sets forth legally binding terms for your use of Vijilan. By using the website and services, you agree to be bound by this agreement. If you do not agree to the terms of this agreement, you must not use the website and services. We may modify this agreement from time to time, and such modification shall be effective upon posting on the website. You agree to be bound by any modifications to these terms and conditions when you use the website and the services offered on the website after such modification is posted on the website; therefore, it is important that you review this agreement regularly.
If you are using the services on behalf of your employer or another entity, you represent and warrant that you have full legal authority to bind your organization to these terms. Accordingly, all references in these terms to “you” or “user” shall be deemed to include your organization, except where the context may otherwise require. If you do not have such authority, then you may not use the service on behalf of your organization and you must discontinue all use of the service immediately.
The services are not directed to persons under the age of 18. Vijilan does not knowingly collect information from persons under the age of 18 or allow them to create an account or access the features of the services on their own. If you are under the age of 18, please do not submit any personal information about yourself to Vijilan unless you have proper permission from the appropriate parent or legal guardian. It is the responsibility of parents and legal guardians to determine whether any of the content and services offered on the website is appropriate for their children or minors under their guardianship.
Vijilan may, in its sole discretion, refuse to offer the services to any entity or user and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the service and the website is revoked in such jurisdictions.
The website and services may only be used in compliance with these terms and all applicable local, state, national and international laws, rules and regulations.
By using the website and services, you represent and warrant that you have the full right, power and authority to enter into this agreement and to fully perform all of your obligations hereunder. You further represent and warrant that you are under no legal disability or contractual restriction that prevents you from entering into this agreement.
- NOTIFICATIONS AND NEWSLETTER
By providing Vijilan with your email address and telephone number, you agree that we may use your email address to send you important notifications and communications about our services, news and special content. If you do not wish to receive these emails, you may opt-out of receiving them by sending us your request through our contact information or by using the “unsubscribe” option in the emails. Opting out may prevent you from receiving emails regarding our services, important news and special content.

The terms and conditions of each service will be established in the respective service agreement, which will determine the specifications of the services, the price of the services, the method of payment for the services, the responsibilities and obligations of Vijilan, among other specifications and terms that must be accepted by the client when accepting and signing the respective service agreement.
The user or client can request information about our services or request a demo of our services through the forms available on the website or can request information through our contact information. Our support team will be attentive and available to answer your questions and concerns.
Vijilan may cancel any service and may change or discontinue the availability of services any time in its sole discretion. The price of the services will be determined by the services contracted by the client.
Services will be paid through invoices created and sent by Vijilan according to the services contracted and provided. Services can be paid for through the payment methods available at Vijilan and included in the respective service agreement. Upon processing a transaction, we will issue an electronic receipt which will be sent to the email address you provided to us at the time of contracting our services.
If you find any inconsistency in your billing, please contact us through our contact information or you can make the claim through the client service of the corresponding payment platform.
If your card is declined, you will receive an error message. No payment will be charged to your card and no order will be processed. There may be a pending transaction on your account until your card issuing bank withdraws the authorization. This usually takes 2 to 5 business days. Your card may be declined for various reasons such as insufficient funds, AVS (Address Verification System) mismatch or you have entered an incorrect security code.
If your payment is declined, you must provide an alternative payment method or provide another card where payment can be charged and processed.
Your payment information will be treated and stored with total security and for the sole purpose of processing the purchase of services. Vijilan reserves the right to hire any payment platform available on the market, which treats your data for the sole purpose of processing the purchase of services.
- SUBSCRIPTIONS
Some of our cybersecurity monitoring services mentioned above may be available through monthly or annual paid subscriptions. The user can access a demo of our services or subscriptions. The user can cancel the demo at any time before moving to a paid subscription in accordance with the respective service agreement. When a user purchases a subscription, Vijilan will send a confirmation email. This confirmation email will be produced automatically so that the user has confirmation of payment and the start of the subscription. If the user does not receive the confirmation email of the purchase and the start of the subscription, it is possible that it has been sent to his spam folder.
Vijilan may change or discontinue the availability of subscriptions at any time at its sole discretion. If a subscription purchase is cancelled, the payment made for the subscription will be refunded in the applicable billing period. This does not affect your statutory rights.
Subscriptions include automatic recurring payments. You authorize Vijilan to renew your subscription and to charge you periodically and progressively on each billing date. The subscription billing date is the date on which you purchase the subscription and make the first payment. On the corresponding billing date, you will automatically be charged the corresponding subscription fee. The subscription will remain active until you cancel it or we terminate it. You must cancel your subscription before it renews to avoid the next billing period. We will bill you for the subscription billing fee in the payment method you choose during registration and subscription purchase.
Subscriptions will automatically renew for an additional billing period unless cancelled prior to the next billing period. Users may cancel the subscription through the user account settings in the billing section or by submitting a cancellation request through our contact information and the subscription will be cancelled for the next billing period. If a subscription is cancelled, the user may continue to use the paid features of the subscription until the next billing period, at which time the subscription will be cancelled permanently.
- PAYMENTS
Services or subscriptions can be paid for using the following payment methods:
- Credit/debit card (Visa, Master, Discover, Amex, Diners, etc.)
Payment for services or subscriptions will be charged to your credit/debit card immediately upon completion of the payment and subscription registration process. The subscription will be activated upon completion of the payment and registration process and will be charged on each billing date automatically (monthly or yearly). Once the transaction is processed, we will send an electronic receipt to the user’s email address.
If you find any inconsistencies in your billing, please contact us via our contact details or you can make a complaint via the client service of the relevant payment processor.

Your payment details will be treated and retained securely and for the sole purpose of processing the purchase of the subscriptions. Vijilan reserves the right to engage any payment platform available on the market.
- DEMO
The purpose of this clause is to allow Vijilan’s users and clients to request a demonstration of our cybersecurity services, with the purpose of knowing and understanding in a practical and detailed way the characteristics, functionalities and benefits of such services.
Any user or client interested in obtaining a demo must make a formal request through the channels established by Vijilan, providing all the necessary details for the proper preparation and presentation of the demo.
The demo is provided free of charge and its main purpose is to show the capabilities of the services offered by Vijilan. The demo does not imply any commitment of purchase or acquisition of services by the user.
During the demonstration, Vijilan reserves the right not to disclose deep technical or proprietary information. The user agrees not to disclose, reproduce or misuse any information or material presented during the demonstration, except with the express written permission of Vijilan.
Vijilan strives to provide demonstrations that accurately reflect the capabilities of its services. However, the performance, features and functionalities shown in the demonstration may not be fully representative of the final service provided.
- PARTNER PORTAL
The Vijilan Group Partner Portal has web pages, which are accessible by the public, as well as access-restricted web pages for which registration is required. After logging in, partners have access to a general as well as a function-specific selection of information and services.
Vijilan, itself, shall request no remuneration for the development of the Portal and making it available for use. The cost of any services provided by means of the Portal shall be subject to separate agreement. Any user costs associated with the Portal such as, in particular, access to the Internet, user and administration overheads as well as the purchase of necessary hardware and software shall not be refundable by Vijilan.
The use of the portal by users, affiliates and employees shall only be made in connection with actual contracts and business with Vijilan and its affiliated companies. The time and purpose of such use is limited to the fulfillment of the respective contractual obligations. Any other use is prohibited. This shall apply in particular also to users whose assigned function includes unnecessary privileges.
Vijilan is entitled to determine the duration and scope of any access rights as well as the general scope of the services provided through the portal. In case Vijilan terminates the user’s rights without cause and despite the fact that the user needs the access for the fulfillment of contractual obligations with Vijilan, Vijilan shall not be entitled to claim for the breach of such contractual obligations.
Both Vijilan and the user have the right to terminate the user’s rights and obligations at any time.
- ACCOUNT
To use the portal and some of the services provided by Vijilan through the portal, users must register and open an account on the portal. If you register on the portal, you will be asked to choose a password and username and may be asked for additional account information, such as email address. You are responsible for maintaining the confidentiality of your password and account information, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Vijilan of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you log out of your account at the end of each session. You may never use another user’s account without Vijilan’s prior authorization. Vijilan will not be liable for any loss or damage arising from your breach of this agreement.
Users can cancel their accounts at any time and for any reason through the user account settings or by sending us their request through our contact information. Such cancellation will only result in the deletion of the account and the deletion of all personal data transferred to Vijilan.
- RIGHTS OF THE USER OF THE PARTNER PORTAL
The right of access is non-transferable. The user shall ensure that his password does not get into the hands of unauthorized third parties. If a user becomes aware that an unauthorized third party has come into possession of his password or if the user has reason to believe that his access data is being misused, the user shall immediately change his password. If this is not possible, the user must notify us via our contact information.
Vijilan reserves the right to deny access and to seek other forms of legal redress in the event of a breach of these terms and conditions, in particular in connection with the misuse of access data relating to the user.
In addition, the user is prohibited from engaging in any activity that may result in the destruction or manipulation, by such user or third parties, of databases or computer systems of Vijilan or its affiliated companies or its designated partner companies.
Without prejudice to existing legal or contractual obligations regarding confidentiality, the following commitments shall be of a permanent nature and shall therefore remain valid after the termination of the user’s rights:
- The user undertakes to treat all knowledge relating to trade secrets that comes into his possession as confidential.
- The user shall ensure that protected data coming into his possession through the use of the Portal shall not be passed on to unauthorized persons.
- LIABILITY IN THE USE OF THE PARTNER PORTAL
The portal is maintained with the necessary diligence. Nevertheless, while the information provided is believed to be accurate, it may include errors or inaccuracies. In no event shall Vijilan be liable to any person for any special, indirect or consequential damages relating to the use of the portal or its unavailability, unless caused by gross negligence or intentional misconduct. For the clarification it shall be ascertained, that this limitation of liability shall not infringe the supplier´s right to accuse
Vijilan of the unavailability of the portal or any inaccuracy of information provided, if the use of the portal was necessary and agreed upon contractually.
Vijilan waives its liability for any links from the portal to third party websites and their content.
- SUPPLEMENTARY TERMS AND CONDITIONS FOR ADMINISTRATORS
The following conditions apply to account administrators for accessing the Portal. The administrator will be the central organizational contact point of the associated companies in relation to the use of the Portal. The administrator is responsible for the organization and coordination of the electronic communications between the associated companies and Vijilan.
The main administrator will receive, in general, all the information related to the operation and use of the Portal’s server and will have access to all the data of the Portal’s server destined to his company.
Each partner company will appoint a main administrator who will act on its behalf. The main administrator is responsible for ensuring that only access requests from authorized persons are transmitted or notified to Vijilan. The administrator will be personally responsible for maintaining and updating the data of the users of your company. Whenever a user’s position or responsibilities change, you shall ensure that access privileges are consistent with the user’s new responsibilities, including termination of employment with a partner company or early termination of the contractual relationship between Vijilan or its affiliated companies and the partner company. In addition, the chief administrator shall delete the user’s information, either upon termination of the user’s employment relationship or upon the user’s express request.
- LICENSE TO USE THE PORTAL
Vijilan grants you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the Partner Portal and the functionalities included in the Portal as part of our cybersecurity monitoring services or as part of any contract established between Vijilan and the user or any third party. This license is for the sole purpose of allowing you to use and enjoy the benefits of the functionalities available on the partner portal. You may not copy, modify, distribute, sell or lease any part of our services or the included software, nor may you reverse engineer or attempt to extract the source code of such software, unless such restrictions are prohibited by law, or unless you have our written permission.
You agree not to use the site and services in a negligent, fraudulent or unlawful manner. Likewise, the user agrees not to engage in any conduct or action that may damage the image, interests or rights of Vijilan or any third party.
Vijilan reserves the right to cancel the user’s access to the portal immediately, with or without prior notice, and without any responsibility for the user, if Vijilan considers that the user has violated any of these terms or has interfered with the use of the portal or services to other users or third parties.
- DISCLAIMER
Vijilan is committed to providing cybersecurity services and solutions according to accepted professional standards and in accordance with contractually agreed specifications. However, the client acknowledges and agrees that no cybersecurity service or solution can guarantee complete and absolute protection against all cyber threats and vulnerabilities.
In no event shall Vijilan be liable to the client or any third party for indirect, incidental, special, consequential or exemplary damages, including, without limitation, loss of profits, loss of data, loss of business opportunity, damage to reputation, business interruption, or any other intangible damage or loss, even if Vijilan has been advised of the possibility of such damages.
The client acknowledges that risks associated with cyber threats and vulnerabilities are inherent in the digital and connected nature of today’s environment. The client is responsible for establishing appropriate internal practices and protocols to mitigate such risks, in addition to the use of the services and solutions provided by Vijilan.
The client agrees to notify Vijilan immediately and in writing of any incident or suspected incident related to the cybersecurity services or solutions provided, allowing Vijilan to investigate and respond appropriately.
By contracting our cybersecurity monitoring services, you agree that Vijilan does not guarantee any profit results, success or failure of the services or subscriptions provided by Vijilan. Vijilan is not responsible for any losses or profits that may be suffered or obtained by our clients that are directly or directly related to the provision of our cybersecurity monitoring services. The client acknowledges that the ultimate success or failure of the services provided by Vijilan will be the result of the particular situation of each client or each organization represented by the client and beyond the control of Vijilan.
By accessing the website and the content available on the website (Insights), you accept personal responsibility for the results of using the information available on the content. You agree that Vijilan has not guaranteed the results of any actions taken, whether or not advised by this website or the content. Vijilan provides resources and content for informational purposes only. We do not guarantee that the information available on the website is accurate, complete or updated. The content of this website is provided for general information and should not be taken as a professional advice. Any use of the material provided on this website is at your own risk.
- USER CONTENT
Through the use of our cybersecurity monitoring services, you may provide content and information to us. The client retains any proprietary or other rights it may have in the content it provides through the use of our services. Vijilan is not responsible for the accuracy, security or legality of the information or content provided by the client through our services. By providing content and information through the use of our services, the client grants Vijilan a worldwide, non-exclusive, royalty-free, fully paid right and license to host, store, transfer, display, perform, reproduce and modify the user’s content for the sole purpose of providing our services properly.
- COPYRIGHT
All materials on Vijilan, including, without limitation, names, logos, trademarks, images, text, columns, graphics, videos, photographs, illustrations, software and other elements are protected by copyrights, trademarks and/or other intellectual property rights owned and controlled by Vijilan or by third parties that have licensed or otherwise provided their material to the website. You acknowledge and agree that all materials on Vijilan are made available for limited, non-commercial, personal use only. Except as specifically provided herein. No material may be copied, reproduced, republished, sold, downloaded, posted, transmitted, or distributed in any way, or otherwise used for any purpose, by any person or entity, without Vijilan prior express written permission. You may not add, delete, distort, or otherwise modify the material. Any unauthorized attempt to modify any material, to defeat or circumvent any security features, or to utilize Vijilan or any part of the material for any purpose other than its intended purposes is strictly prohibited.
- COPYRIGHT INFRINGEMENT
Vijilan will respond to all enquiries, complaints and claims relating to alleged infringement by breach or violation of the provisions contained in international copyright and intellectual property laws and regulations. Vijilan respects the intellectual property of others and expects users to do the same. If you believe, in good faith, that any material provided on the Vijilan platform infringes your copyright or other intellectual property rights, please submit your request via our contact information, with the following information:

Vijilan will protect such confidential Information from disclosure to third parties by employing the same degree of care used to protect its own confidentiality or proprietary information of similar importance. If necessary to carry out a prospective business relationship, Vijilan may disclose confidential information received pursuant to our services to employees and/or consultants with a need to know, provided that the consultants are obligated to protect such confidential information from unauthorized use and disclosure. Confidential information shall not be disclosed to any third party without the prior written consent of the client who is the owner of the information.
- PERSONAL DATA
Any personal information you submit in connection with cybersecurity monitoring services and website usage will be used in accordance with our privacy policy and our partner portal policy. By using the services, you agree that we may collect and store your personal information. See our privacy policy and partner portal policy.
- PROHIBITED ACTIVITIES
The content and information available on the website (including, but not limited to, data, information, text, music, sound, photos, graphics, video, maps, icons or other material), as well as the infrastructure used to provide such Content and information, is proprietary to Vijilan or licensed to the Vijilan by third parties. For all content other than your content, you agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software or services obtained from or through the website. - Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Vijilan in connection with the services.
- Circumvent, disable or otherwise interfere with security-related features of the website or features that prevent or restrict use or copying of any content.
- Download any content unless it’s expressly made available for download by Vijilan.
- DISCLAIMER OF WARRANTIES
Because of the nature of the Internet Vijilan provides and maintains the website on an “as is”, “as available” basis and makes no promise that use of the website will be uninterrupted or entirely error free. We are not responsible to you if we are unable to provide our Internet services for any reason beyond our control.

These terms do not affect your statutory rights as a consumer which are available to you.
Subject as aforesaid, to the maximum extent permitted by law, Vijilan excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect or consequential loss whether or not such arises out of any problem you notify to Vijilan and Vijilan shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:
- Any incorrect or inaccurate information on the website.
- The infringement by any person of any Intellectual Property Rights of any third party caused by their use of the websiteor service purchased through the

No responsibility will be accepted by Vijilan for failed, partial or garbled computer transmissions, for any computer, telephone, cable, network, electronic or internet hardware or software malfunctions, failures, connections, availability, for the acts or omissions of any Cleaner User, internet accessibility or availability or for traffic congestion or unauthorized human act, including any errors or mistakes.
- INDEMNIFICATION
You agree to defend and indemnify Vijilan from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:
- Your breach of this agreement or the documents referenced herein.
- Your violation of any law or the rights of a third party.
- Your use of cybersecurity monitoring services.
- CHANGES AND TERMINATION
We may modify the website and these terms at any time, at our sole discretion and without notice. You are responsible for keeping yourself informed of these terms. Your continued use of the website constitutes your acceptance of any changes to these terms and any changes will supersede all previous versions of the terms. Unless otherwise specified, all changes to these terms apply to all users and clients. In addition, we may terminate our agreement with you under these terms at any time by notifying you in writing (including by email) or without notice.
- ASSIGNMENT
This agreement and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Vijilan without restriction.
- NO PARTNERSHIP
You agree that no joint venture, partnership, employment or agency relationship exists between you and Vijilan as a result of these terms or your use of the services unless there is an agreement or contract to the contrary.
- INTEGRATION CLAUSE
This agreement together with the privacy policy and any other legal notices published by Vijilan, shall constitute the entire agreement between you and Vijilan concerning and governs your use of the website and the services.
- DISPUTES
The user agrees that any dispute, claim or controversy arising out of or relating to these terms and conditions, or the breach, termination, enforcement, interpretation or validity thereof or the use of the services, shall be resolved by binding arbitration between the user and Vijilan, provided that each party retains the right to bring an individual action in a court of competent jurisdiction.
In the event of a dispute arising in connection with the use of the services or the breach of these conditions, the parties agree to submit their dispute to arbitration resolution before a reputable arbitration organization as mutually agreed by the parties and in accordance with applicable commercial arbitration rules.
You agree to initiate a formal dispute proceeding by sending us a communication through our contact information. Vijilan may choose to send you a written offer after receiving your initial communication. If we offer and send you a settlement offer and you do not accept the offer, or we are unable to resolve your dispute satisfactorily and you wish to continue with the dispute process, you must initiate the dispute resolution process before an accredited arbitration organization and file a separate Demand for Arbitration. Any award rendered by the arbitration tribunal shall be final and conclusive on the parties.
To the fullest extent permitted by law, you agree that you will not file, join or participate in any class action lawsuit in connection with any claim, dispute or controversy that may arise in connection with your use of the website and services.
